BUYERS AND SELLERS: A credible business valuation provides specific pricing help to buyers and sellers of companies as they negotiate price and terms of sale. In addition, we are also available on a joint retention basis, which effectively splits the cost of the valuation analysis in half.

BUSINESS ENTERPRISE VALUE: Gaining an understanding of a business entity’s “enterprise value”, consisting of the market value of its stock and outstanding debt, provides a more complete picture of a company’s total value. The enterprise value of a business takes into account the value of all capital invested into the company by both shareholders and debt holders.

VALUATION DISPUTES: Disagreements frequently arise over the valuation of businesses or business interests. Our procedures employ specific financial valuation techniques and methods to answer the important question: How much is it worth?”

SOLVENCY VALUATIONS: we provide solvency analyses and valuations for debtors and creditors of distressed companies arising from bankruptcy code sections 101(32, 547, 548, and 544. We also provide solvency valuations associated with Internal Revenue Code section 108 related to discharge of indebtedness.

SFAS 141/142: SFAS 141 requires that all assets acquired in a business purchase, including goodwill and other intangible assets, must be stated on the financial statements at “fair value.” A purchase allocation under SFAS 141 must be wellsupported and requires specific valuation knowledge. SFAS 141 requires companies to perform an annual valuation test for possible impairment of recorded intangible assets.”

CONSULTING SERVICES

SERVICES FOR DISTRESSED COMPANIES: Distressed company consulting services are provided by highly experienced former business managers with the following credentials: MBA, CIRA, CPA, CMA and MS.

TURNAROUND/RESTRUCTURING: These services are designed to understand, evaluate and solve a troubled company’s operational and financial problems. Restructuring assistance typically involves the immediate stabilization of a company’s financial position through controlling expenses, reducing losses and increasing cash flow. Following the realignment of its cost structure, an appropriate turnaround plan is developed and implemented, usually along with a capital restructuring plan.

INTERIM MANAGEMENT: These services usually involve supporting a company’s senior management in a transition role or serving as the senior manager in a turnaround situation. In addition to providing structure and stability to struggling companies, an important aspect of this role is serving as a catalyst for change and helping clients focus on critical issues and improving the business decision making process.

WORKOUT SERVICES: Workout assistance frequently involves preparation of turnaround and recovery plans, including cash flow projections, as well as identifying possible sources of new capital, assessing a companies long-term viability, and working with existing lenders and creditors to obtain adequate time to accomplish the workout objectives.

WORKING CAPITAL ISSUES: We regularly work with companies that are experiencing working capital shortages. Our system allows us to quickly analyze and adjust the key components that affect a company’s cash flow. In addition, we have cultivated relationships with many different types of lenders that allow us to introduce new sources of financing to client companies.

PROBLEM-SOLVING: We use our experience and problem solving framework to help clients solve challenging business problems. Our framework helps clients uncover the root causes of specific problems as well as to understand where they are in the problem cycle. Our system balances creative problem solving methods with critical evaluation and judgement to help produce optimal solutions.

SPECIAL PROJECTS: We assist clients with their special project needs by coordinating or performing tasks on an as-needed basis. Examples of previous special projects include dispute resolution, refinancing, operations tune-ups, preparation of a company for sale, receivables and notes collection, bonus and compensation issues, lender forbearance, and asset liquidation.

ADVISORY BOARD MEMBERSHIPS: We are available to provide on-going assistance as a member of your advisory board. In this capacity, we serve as a sounding board for our client’s new ideas by providing objective consideration and timely feedback.
